THIS TERMS OF USE AGREEMENT (the "Agreement") is made by and between World of Halo, LLC, a limited liability company, operating under the trade name CreateKit ("CreateKit"), and you, whether personally or on behalf of an entity ("Client"), with regard to the access and use of CreateKit's website: createkit.xyz (the "Website") and any other media form, channel, mobile website, or mobile application related, linked, or otherwise connected thereto. Failure to agree and adhere to all of the terms, conditions, and obligations contained herein results in the express prohibition of the Client's use of the Website, and the Client is ordered to discontinue use immediately. Thereafter, the relationship between Client and CreateKit shall cease and be of no further force and effect between the parties, except that any obligation of the Client to pay CreateKit for services rendered shall remain and continue to be an ongoing obligation owed by Client to CreateKit.

  1. Intellectual Property Rights

Unless otherwise indicated, the Website is the property of CreateKit, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Website (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned and controlled by CreateKit. The Content and Marks are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions. The Content and Marks are provided as "As-Is" for your information and personal use only. Except as expressly provided herein, no part of the Website and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without CreateKit's express prior written permission. CreateKit reserves all rights not expressly granted to you in and to the Website, Content, and Marks.

  1. Ownership of Materials

Notwithstanding CreateKit's ownership of the Content and Marks, all materials produced and delivered under the Client's specific subscription plan, including without limitation, designs, drafts, visuals, graphics, animations, and digital files ("Materials"), will be the property of the Client upon full payment of all fees owed to CreateKit under the Client's subscription plan. CreateKit retains the right to use any and all Materials developed by CreateKit in the course of providing the services for promotional and marketing purposes.

  1. User Representation

By using the Website, you represent and warrant that:

(a) all registration information you submit will be true, accurate, current, and complete;

(b) you will maintain the accuracy of such information and promptly update such registration information as necessary;

(c) you have the legal capacity and you agree to comply with this Agreement;

  1. User Obligations

As a user of the Website, you agree to use the services provided by CreateKit in a manner consistent with all applicable laws and regulations and in accordance with the terms and conditions set out in the policies and guidelines outlined herein. You will not use the Website or any of the services provided by CreateKit to commit a criminal offense, to infringe on the rights of any third party, or in a manner that results in complaints, disputes, claims, fines, penalties, or other liability to CreateKit.

  1. Changes to Agreement

CreateKit reserves the right to update, change, modify, or revise this Agreement at any time. Any new features that augment or enhance the current services, including the release of new tools and resources, shall be subject to the Agreement.
